R&D relief and IP Box in Poland: connecting costs and income
Reviewed: 13 October 2026 · Polish law and taxation
R&D relief and IP Box can coexist within a Polish business, but they address different parts of its tax calculation. R&D relief concerns specified development costs. IP Box applies a 5% rate to qualifying income from qualifying intellectual property rights. For a CFO, the central task is to connect the work performed, the costs allocated and the right generating income. This article concerns ordinary Polish corporate income tax, not an overseas patent-box regime.
An R&D project does not automatically create qualifying IP
A development project may produce no right falling within the IP Box statutory list. That list includes patents and copyright in computer programs, subject to the applicable conditions. Possessing know-how, a brand or a process description does not justify applying 5% to the business as a whole.
Article 24d requires legal protection and the creation, development or improvement of the protected subject matter through the taxpayer's R&D activity. Map each project to its output, legal entitlement and commercial use. For software, review actual rights to the code and the contracts with employees, contractors and customers. An invoice labelled “IT services” does not resolve ownership or establish the nature of the income.
Keep three calculations distinct
First identify tax-deductible expenses and eligible R&D costs. Next identify the revenue, expenses and income attributable to each qualifying right. Then apply the qualifying-income rules, including the nexus fraction. A single “project cost” figure cannot replace all three exercises.
The nexus formula considers own R&D, acquired R&D results from unrelated and related parties, and purchased qualifying IP. Its statutory form is (a+b) × 1.3 / (a+b+c+d), capped at 1. These categories differ from the eligible-cost list for the R&D deduction. Expenses used to calculate income from a right also require their own analysis. This distinction matters particularly when a Polish subsidiary develops software with other group companies.
Article 24d(9a) permits specified eligible R&D costs that created, developed or improved the right to be deducted from income from that qualifying IP. This provides a statutory route to combine the incentives. It does not permit the same additional deduction to be assigned freely to multiple tax bases. The calculation must show where every amount is used and why.
An illustrative software business
Assume a Polish company develops its own program and earns licence fees. It also supplies training and ongoing support. The entire package should not automatically be treated as income taxable at 5%. The company needs to identify the right, the qualifying development work, the relevant income and a defensible allocation of bundled services and costs.
If a related company performs part of the development, those expenses also need the appropriate nexus classification. Contracts, deliverables, invoices and ledger entries should tell the same story. This hypothetical example illustrates an accounting issue; it is not a TLP implementation case or confirmation that a specific company qualifies.
Nexus: a short example of the 5% boundary
Suppose correctly determined income from qualifying IP is PLN 500,000 and the nexus ratio is 0.8. Qualifying income is PLN 400,000, producing PLN 20,000 tax at 5%, before any R&D deduction under Article 24d(9a). The remaining PLN 100,000 requires taxation under the applicable ordinary rules. This hypothetical example assumes all conditions are met and excludes losses and other adjustments. Applying 5% to the full PLN 500,000 while ignoring nexus would be incorrect.
A joint checklist for finance and product teams
- Identify each right and the basis for its protection and ownership.
- Connect qualifying R&D tasks with the creation or improvement of that right.
- Separate IP revenue from ordinary services and other sales.
- Establish defensible direct-cost and shared-cost allocation rules.
- Maintain a separate schedule of nexus categories.
- Reconcile the R&D deduction with the IP Box income calculation.
Test one complete evidence chain
Select one right and trace it from the technical work to the tax return. Article 24e requires records capable of establishing qualifying-IP income; where the records cannot establish that income, ordinary taxation applies. TLP can review the alignment of contracts, accounting records and calculations as part of tax relief support in Poland.
Frequently asked questions
Can R&D relief and IP Box be used together?
Yes, through the statutory mechanism and appropriate records. R&D relief concerns costs; IP Box concerns qualifying income from specified rights. Each amount needs a clear settlement route.
Does all IT revenue qualify for the 5% rate?
No. Identify the qualifying right, R&D activity, attributable income and nexus. Ordinary support services are not automatically qualifying IP income.
Are nexus costs the same as eligible R&D relief costs?
No. Nexus categories, costs used to calculate IP income and eligible R&D deduction costs serve different purposes. Reconcile them while preserving those distinctions.
